End User License Agreement

THIS AGREEMENT IS CONTINUOUSLY ACCESSIBLE ON WWW.WISECP.COM. ANYONE WHO BUYS OR RENTS THE WISECP SOFTWARE IS DEEMED TO HAVE READ, UNDERSTOOD, AND ACCEPTED THIS AGREEMENT IN ADVANCE.

  1. PARTIES TO THE CONVENTION

    - Sitemio Information Technologies Trade Limited Company, referred to as "WISECP" or "Wisecp.com".
    -  The "User" refers to the person or entity that uses the WISECP software (i.e. you).

  2. DEFINITIONS

    - Sitemio : Sitemio Information Technologies Trade Limited Company
    - WISECP or WISECP Software: It is an automation software system developed by Sitemio Information Technologies Trade Limited Company for hosting, domain name registration, server leasing, sms services, software / licensing services and other digital services companies.
    - Wisecp.com : It is the official website for the promotion of WISECP software, license sales and support services.

  3. SUBJECT OF AGREEMENT

    The "WISECP" automation software produced by Sitemio Information Technologies LTD. is provided by the user to be purchased/leased and used according to the procedures and principles outlined below.

  4. LICENSE TYPES AND OBTAINING

    4.1. The license types and price information of the software are updated as specified on the www.wisecp.com website. Licenses are defined on a single domain name and cannot be used in a domain name or subdomain other than this domain name. The user will choose any of the license types deemed appropriate for him.

    4.2. MONTHLY / YEARLY LICENSES

    4.3. Startup License (Monthly / Yearly)
    In this license type, the software is rented monthly or annually and there is an obligation on the software to have a "Powered by WISECP" brand link regarding the WISECP brand. In case of any intervention that will prevent this link from being removed, hidden or visible in any way, the user accepts and declares in advance that the license purchased will be canceled and the payment will not be returned under any circumstances. There are no limitations. Free updates and support services are provided throughout the service life.

    4.4. Professional License (Monthly / Yearly)
    In this license type, the software is rented monthly and annually, and there is no obligation to have a "Powered by WISECP" brand link regarding the WISECP brand. There are no limitations. Free updates and support services are provided throughout the service life.

    4.5. LIFETIME LICENSES

    In this license type, the software is purchased by paying only "one time" and there is an obligation on the software to have a "Powered by WISECP" brand link regarding the WISECP brand.     In this license type, the software is purchased by paying only "one time" and there is no obligation to have a "Powered by WISECP" brand link regarding the WISECP brand. There are no limitations. During the service period, an update and support service is provided within the annual fee determined by Wisecp.com. The first year update and support service is free.

    4.8. Enterprise License (Lifetime)
    In this license type, the software is purchased by paying only "one time" and there is no obligation to have a "Powered by WISECP" brand link regarding the WISECP brand. There are no limitations. Lifetime update and support service is free.

    4.9. Free License (Branded)
    In this license type, the WISECP software license is offered for free. There is no predetermined end date. There are some text on the software that sends a link to the www.wisecp.com website. These can be as follows; "Powered by WISECP, Hosting Billing Automation, Hosting Billing System, Hosting Billing Software, Billing Automation, Billing Software" and so on. These links must be kept at the bottom of the site. In case of any intervention to remove, hide or hide these links in any way, the free license will be canceled and the user will be permanently prevented from obtaining a free license again. The free license is subject to some restrictions and limits. What these restrictions are can be accessed via the "PRICING" page on www.wisecp.com. If the mentioned restrictions and limits on the free license are reached, the restrictions and limits may prevent the use of the system or obstacles may occur. It must be upgraded to a paid license type to continue freely. Wisecp.com may change or discontinue the terms and conditions of the free license service at any time. The user must then upgrade to a paid license type. All users who want to use a free license accept and declare these terms and conditions.

    4.10. Obtaining a License
    Obtaining a license is provided via the www.wisecp.com official web site. The user will be able to access the license information purchased or leased by providing client information via the www.wisecp.com website and download the installation files.

  5. LICENSE EXCHANGE POLICIY

    You can change license information at any time. There are no restrictions on this. However, the license information change cannot be made for "resell" purposes. If this is determined, the relevant license may be revoked and you will lose all your rights.

  6. LICENSE TRANSFER POLICIY

    6.1. Leased licenses (monthly or annual) cannot be transferred to another person. However, lifetime (once paid) licenses can be transferred under the other clauses described below.

    6.2. Transfer application for lifetime licenses is an exceptional process offered by Wisecp.com to its users. It does not grant a permanent right or privilege about transfer the license to another user.

    6.3. Lifetime (one-time payment) licenses can be transferred to another user, provided that 20% of the license fee stated on the Wisecp.com pricing page is paid. Once the license transfer process is completed, this process cannot be undone.

    6.4. For re-transfer of a previously transferred license, a payment of 20% of the license fee described on the Wisecp.com pricing page is required. Once the license transfer process is completed, this process cannot be undone.

    6.5. License transfer cannot be made to persons or companies that violate the Wisecp.com license usage agreement. Wisecp.com reserves the right to refuse license transfer to persons or companies that it deems inappropriate. In this case, the user cannot make any claims.

    6.6. The user cannot transfer his license to someone else by giving his Wisecp.com account login information to someone else, changing his e-mail and other information. If this situation is detected in any way, the relevant customer account and all its licenses will be canceled. The persons or companies that transfer their license and receive shall accept and declare this situation in advance.

    6.7. Wisecp.com reserves the right to terminate or modify license transfer facilities at any time and without prior notice. When the license transfer opportunity is terminated, the user accepts and declares in advance that he will not be able to request a transfer for the existing license he has purchased previously.

  7. CANCELATION/REFUND POLICIY

    7.1. For cancellation, it is essential that WISECP software has any persistent problems, errors and cannot be fixed. Any feature that is not included in the software does not mean that the software is incomplete, incorrect, or defective. The user should review it from the from begin to end, request information if necessary, and confirm whether it is appropriate for him before owning the software.
    7.2. If the server on which the software is installed does not have sufficient hardware and features, and other server-side problems, cancellation and refund is not possible.
    7.3. No cancellation or refund is possible due to problems arising from third party modules and APIs working integrated with the system.
    7.4. If the necessary conditions for cancellation and refund occur, a cancellation request must be created on the customer panel service details.

  8. TECHNICAL SUPPORT

    8.1. The user is entitled to request technical support at any time. The user will be required to provide technical support requests through the "support system" by providing client input through the www.wisecp.com official website. Accepts and declares that will not receive support services in different ways. Technical support response times can take up to 24 hours on average, depending on the intensity status. The user agrees to this situation. Technical support services relate to the standard functioning of the software and the problems, errors and problems that will be experienced. Other considerations are not covered by support. Problems that occur due to erroneous and invalid interventions imposed on WISECP software files are not considered under technical support and do not have any liability to Wisecp.com. In such cases, the user agrees and declares that the software will resolve the problem by uploading the original files and database back to the server.

    8.2. The user is obliged to provide the server hardware and requirements necessary for the smooth functioning of the WISECP software. These requirements have been declared to the user before and during the purchase. In some cases, a number of additional features may be required on the base level. In such cases, the user agrees and declares that the features that Wisecp.com declares in addition shall be provided.

    8.3. The user agrees and declares that the WISECP software will receive a paid support service for non-standard functioning.

    8.4. The user agrees and declares that he or she will pay for the different modules, requests and arrangements to be requested.
  9. OTHER TERMS AND CONDITIONS

    9.1. The user agrees that Wisecp.com and its customers will not take any action that would damage the commercial reputation and prestige of all Wisecp.com products. It confirms that if this is detected, the customer's account and all associated products and services will be immediately canceled and no money back payment will be made.

    9.2. Wisecp.com has the right to refuse service regardless of who requests it. You may be exempted from support services in the face of negative (mobbing) behaviors displayed by the customer and behaviors that adversely affect the working performance of Wisecp.com officials and personnel. In this case, Wisecp.com reserves the right to cancel the customer account with all its products / services by refunding the amounts corresponding to the remaining usage of the user. The user accepts and declares this.

  10. LICENSE PAYMENTS

    WISECP license payments are made in advance by credit card or bank transfer during the license creation phase. The monthly license period is 30 days. If no payment is made, the license is suspended on the next day after the last payment date and is cancelled if no payment is made. A license alert will automatically appear on the user's web site that is connected to the suspended license. The user accepts and declares this in advance. For lifetime licenses, a payment is paid and no other payment is made.

  11. UPDATES

    There are occasional updates and new releases on WISECP. Update operations are done via the admin control panel, update centre. Wisecp.com is not obligated to share any information about the content, duration and scope of the updates and makes no warranty.

  12. THIRD PARTY INTEGRATIONS AND API'S

    A number of API integrations are available on WISECP. These are API integrations and modules developed to enable third-party products and services that are not affiliated with the software to integrate with WISECP. Wisecp.com is not responsible for any disruptions that may occur as a result of changes or errors to third party services with API integrators in their own infrastructure. Wisecp.com does not offer any guarantees that the APIs will work seamlessly for ever.

  13. CHANGES IN THE AGREEMENT

    Wisecp.com may, at any time, modify the terms and conditions of this agreement in part or all for its products and services offered on the site. Changes will be effective from the date of publication on the site. It is the user's responsibility to track and control the changes.

  14. INTELLECTUAL PROPERTY RIGHTS

    14.1. The title, business name, trademark, patent, logo, design, and products contained in Wisecp.com and Wisecp.com.com are protected by all intellectual property rights, national and international law, registered or unregistered. The use of products and services in this agreement does not grant any rights to such intellectual property rights.

    14.2. WISECP automation software cannot be reproduced, published, copied or transmitted in any way. The whole or part of it cannot be used without permission.

    14.3. WISECP visual design and source codes are registered and all rights reserved. Only our web site, our dealers' websites and authorised business partners are sold.

  15. THE INTEGRITY AND APPLICABILITY OF THE AGREEMENT

    If one of these contractual terms becomes partially or completely void, the remainder of the contract continues to retain its validity.

  16. NOTIFICATIONS

    All notices sent to parties related to this agreement shall be made via the known email address of Wisecp.com and the email address indicated by the user in the membership form. The user agrees that the email address specified during the member process is the current notification address.

  17. DISPUTE RESOLUTION

    The courts of "Turkey / Ankara" courthouse are authorised to resolve any dispute arising from the implementation or interpretation of this agreement.
